General Terms and Conditions of Sale (GTCS)
1. Purpose
These General Terms and Conditions of Sale (GTCS) govern the sales of products and services concluded between POTENTIA, a company specializing in the international trade of industrial raw materials, and any professional customer (“the Client”).
2. Acceptance of the Conditions
Any order implies the unconditional acceptance by the Client of these GTCS, which take precedence over all other documents, unless expressly agreed otherwise in writing by POTENTIA.
3. Products
The characteristics of the proposed products are those specified in the technical data sheets or commercial offers. The Client is solely responsible for choosing the products and their suitability for their intended use.
4. Orders
Orders are considered final only after written confirmation by POTENTIA. Any validated order commits the Client in a firm and irrevocable manner.
5. Prices
Prices are expressed in euros (EUR) or US dollars (USD), excluding taxes, and according to the Incoterm specified in the offer (EXW, FCA, etc.). Prices may be adjusted based on fluctuations in raw material costs, currency exchange rates, or transport fees.
6. Payment
Unless otherwise expressly agreed in writing, payments must be made by bank transfer upon order or according to the payment terms indicated in the invoice. In case of late payment, penalties will be applied automatically at the legal interest rate plus a fixed indemnity for recovery costs.
7. Delivery
Delivery times are indicative. The risk is transferred to the Client upon delivery of the goods to the carrier. POTENTIA disclaims any responsibility for delays caused by force majeure or independent logistical failure.
8. Claims and Returns
No return of goods will be accepted under any circumstances. Any complaint must be submitted in writing within a maximum of 7 days after receipt of the goods and shall not justify order cancellation or non-payment.
9. Warranty and Liability
POTENTIA guarantees the conformity of the products with contractual specifications. Its liability is limited to the amount of the order and does not cover indirect damages, operational losses, or non-compliant use.
10. Force Majeure
POTENTIA shall not be liable for the failure to perform its obligations in case of force majeure: natural disaster, armed conflict, strike, logistical blockage, pandemic, shortage of raw materials, or any other unforeseeable circumstance beyond its control.
11. Confidentiality
Both parties agree to keep all commercial, technical, or financial information exchanged within the business relationship strictly confidential.
12. Jurisdiction and Applicable Law
These GTCS are governed by Turkish law. Any dispute relating to their interpretation or execution shall fall under the exclusive jurisdiction of the courts of Izmir (Turkey), even in the event of multiple defendants or third-party notice.
